DEFINITION

‘content’ - information works and materials (including without limitation text, data, graphics, still images, audio material, video material, audio-visual or other material.

‘contract’ – the document or documents setting out the services to be provided by us together with these terms and conditions and a signed contract acceptance form or proposal.

‘you’, ‘your’, ’clients’ – the person, company or organisation engaging our services.

‘we’, ‘us’, ‘Key Society’. (ABN 372 897 30 733)

Our ‘services’ – the services to be provided by us which include but are not limited to: Venue and supplier sourcing, event planning, event design, event management, event hosting, provision of marketing support, project management and sponsorship.

‘third party’, ‘third parties’ – supply partners we work with to provide venue services, products, event suppliers and services

‘venue’ – a person, sub-lessor or a duly authorised representative of a legal entity who is in a lawful control of a room and has made it available for bookings through our platform.

1. OUR RELATIONSHIP TO THIRD PARTY VENUES, SUPPLIER & SERVICES
   Key Society provides a venue sourcing service and operates as an independent operator and introducer to third-party, partners or entities. Clients are held liable and solely responsible in respect of any contracts, terms of agreement and transactions between any third-party operators.
    

2. DISCLAIMER AND LIMITATION OF LIABILITY
   2.1 You agree engaging with the services of Key Society, you undertake full responsibility for the decision to engage with one another, including with third parties, partners or joint ventures. For clarity, Key Society is not responsible for, or liable for any contractual, transactional, or financial agreements between you and any third-parties. We are in no way party to and will not be liable for or have any relationship with enforcing any agreement made between you or any third party operators contracted with.
   2.2 You are financially responsible and agrees to indemnify third-party operators for all damage sustained to the property and grounds during an event as an action of invitees, guests or organiser-sourced suppliers. Key Society is in no way held responsible for and not liable for any damage caused or have any relationship with enforcing any agreement made between you or any third party operators contracted with.
   2.3 You accept that Key Society is not responsible for, and has no liability with respect to, any third-party content, posted, transmitted, or otherwise made available by any person other than us. Third-party operators are responsible for providing and maintaining true, accurate, current, complete and non-misleading content about venue, rooms, products and services.
   2.4 We may, in our sole discretion and without notice, vary, suspend or discontinue, temporarily or permanently, any or all of the Services and you agree we are not liable to you or any third-party for such variation, suspension or discontinuance. 
   2.5 Key Society does not accept any liability for non‐completion of an event or for any delays arising as a result of act of god, war, strikes, riots or lockouts, force majeure, adverse weather conditions, loss, damage or cancellation due to fire, flood or any other cause beyond its control.
   2.6 The liability of Key Society in respect of any breach of the third party contract, including any applied terms shall not extend to any consequential loss whatsoever suffered by the client or their guests.
    

3. PRICING, TAXES, FEES:
   3.1 You acknowledge that the ‘Estimated summary of costs’ is calculated on the approximation of the cost of a package, guest numbers and any changes you are liable for.
   3.2 Pricing is subject to the ongoing availability of the items quoted. In the event of the quoted goods or services being unavailable, any third-party operator reserves the right to withdraw and/or reissue this quote accordingly.
   3.3 Pricing is subject to AUD fluctuation. In the event of an exchange rate movement by the third-party, reserves the right to withdraw and/or reissue this quote accordingly.
   3.4 All goods and services are quoted exclusive of GST and any other duties and taxes unless specifically listed.​

      3.5 Any payments to venues, suppliers or direct to Key Society may incur a credit card surcharge

      3.5 Pricing is subject to the quantities quoted and any third party reserves the right to adjust the Unit Price or guest numbers                accordingly if a change to quantity is requested by you or as determined by a head count at the event (whichever is greater) and        any other additional costs arising from changes in package inclusions.  
      3.7 Key Society could be offered commission or incentives from third parties. We will disclose any commissions/incentives upon        request. Our guarantee to you is that we will always have your (the client) best interests in mind and will endeavour to find the            best fit for ensuring value for money is delivered.
